Draft pending legal review. This document is a complete working draft. Items in [square brackets] are company details still to be confirmed. It will be reviewed by a qualified lawyer before we take payments or rely on it; until then, contact m.shafih.akbari@gmail.com with any questions.
In plain words
You own what you design. We host it, keep it separate from everyone else's and let you export it at any time.
Paid plans renew until you cancel. Consumers in the UK and EU have a 14-day right to cancel.
AI output is a concept design: a qualified professional must check it before anyone relies on it.
1.Who we are and this agreement
Autonieer (the “Service”) is provided by [Company legal name] (trading as Autonieer), a company registered in [Country] under number [Company number], whose registered office is at [Registered address] (“we”, “us”). VAT number: [VAT number, if registered].
These Terms form a binding agreement between us and the person or organization that accepts them (“you”). If you accept on behalf of an organization, you confirm you have authority to bind it, and “you” means that organization. By creating an account, clicking to accept, or using the Service, you agree to these Terms and to the policies they incorporate: the Acceptable Use Policy, the Refund & Cancellation Policy, the AI Transparency & Professional Disclaimer and, for business customers, the Data Processing Addendum. Our Privacy Policy explains how we handle personal data.
You are a “consumer” if you use the Service wholly or mainly outside your trade, business, craft or profession. Some clauses apply differently to consumers, and nothing in these Terms removes rights consumers have under mandatory law.
2.Eligibility and accounts
- You must be at least 18, or the age of majority where you live, to create an account.
- Give accurate registration details and keep them up to date. Keep your password and API keys confidential; you are responsible for activity under your credentials.
- Tell us straight away at m.shafih.akbari@gmail.com if you suspect unauthorised access.
- Work happens inside organizations. Organization owners control membership, roles (owner, admin, editor, viewer), billing and deletion, and are responsible for the members they invite.
3.The Service
The Service lets you generate, edit, view and export building designs, including AI-assisted floor plans, 3D views, and exports such as DXF, IFC, PDF, glTF, OBJ, SVG and JSON, depending on your plan. We may improve, change or discontinue features. If we remove a material feature of a paid plan during a paid period, we will tell you in advance and you may cancel and receive a pro-rata refund of prepaid fees for the unused period.
We aim for high availability but do not promise the Service will be uninterrupted or error-free, except where an Enterprise order form includes a service level agreement.
4.Plans, trials, fees and taxes
- Plans, prices and limits (projects, AI generations, seats, export formats, API rate limits) are shown on our pricing page at the time you subscribe. Team plans are charged per seat.
- Automatic renewal. Paid plans renew automatically at the end of each monthly or yearly billing period at the then-current price until you cancel. We will tell you before a yearly plan renews, and give at least 30 days' notice of any price increase, which takes effect from your next renewal.
- Trials. If you start a free trial, we will tell you when it ends and what you will be charged. You can cancel before then and pay nothing.
- Payment. Payments are processed by Stripe. You authorise us, through Stripe, to charge your payment method for fees and applicable taxes. Prices exclude VAT, GST and sales taxes, which are added where required.
- Late payment. If a payment fails we will retry and let you know. If it remains unpaid after [14] days we may downgrade your organization to the Free plan; your content is not deleted.
- Usage limits. When you reach a limit the Service will say so; we will not silently degrade or delete anything.
5.Cancellation, refunds and the right of withdrawal
You can cancel at any time from the billing portal. Cancellation takes effect at the end of the current billing period, and you keep access until then. Except as set out in the Refund & Cancellation Policy or required by law, fees already paid are not refundable.
Consumers in the UK and EU have a legal right to withdraw from a new subscription within 14 days without giving a reason. Because the Service is digital and starts straight away, we will ask you to request immediate access and acknowledge the effect on that right when you subscribe. If you withdraw within 14 days, we refund what you paid minus a proportionate amount for the days you used. Full details are in the Refund & Cancellation Policy.
6.Your content
“Customer Content” means the prompts, briefs, files (including imported DXF), designs, drawings, models and other material you or your members put into or create with the Service, including AI output generated for you.
- Ownership. As between you and us, you own Customer Content. We claim no ownership of it.
- Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display Customer Content only as needed to provide, secure and support the Service for you, and as you direct (for example when you share or export). This licence ends when the content is deleted from our systems.
- No training on private designs. We do not use Customer Content to train AI models, and our AI provider is contractually restricted from doing so.
- Your responsibilities. You confirm you have the rights needed for Customer Content you upload, and that it does not break the law or the Acceptable Use Policy.
- Export and deletion. You can export Customer Content at any time in the formats your plan includes. After an organization is deleted we delete its content within 30 days, except where the law requires us to keep something (for example invoices).
7.AI output and professional responsibility
The Service uses artificial intelligence to propose designs. AI output can be wrong, incomplete or unsuitable for a particular site, and similar prompts can give different results. Output is an AI-assisted concept design: it is not a certified construction document, a structural, fire, energy or accessibility assessment, or evidence that a design complies with any building code, planning rule or regulation.
You are responsible for having output reviewed by an appropriately qualified professional before it is relied on for construction, permits, cost estimates, sale or any other decision, and for how you use it. See the AI Transparency & Professional Disclaimer.
8.Acceptable use
You must follow the Acceptable Use Policy. In short: don't break the law, don't try to access other customers' data, don't attack, overload or reverse engineer the Service, and don't resell it without our agreement. We may suspend access to prevent or stop a serious breach, and will tell you why unless the law or security prevents it.
9.API
Plans that include API keys may use our API within the published rate limits. Keep keys secret and rotate any key you think is exposed. We may change the API with reasonable notice, and will keep breaking changes to a minimum.
10.Our intellectual property and feedback
We and our licensors own the Service, including its software, design, documentation and the Autonieer name and marks. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription. If you send us feedback, we may use it without obligation to you.
11.Third-party software and formats
Exports are designed to open in third-party software such as AutoCAD, Revit or SketchUp. We don't control that software and can't guarantee how any particular version will read a file. Third-party product names are trademarks of their owners and are used only to describe compatibility.
12.Privacy and data protection
Our Privacy Policy explains how we handle personal data. Where we process personal data on behalf of a business customer, our Data Processing Addendum forms part of these Terms.
13.Suspension and termination
You may stop using the Service and delete your account or organization at any time. We may suspend or terminate your access if you materially breach these Terms and don't fix the breach within 14 days of notice (or immediately for serious breaches such as security attacks or illegal content), if required by law, or if we stop providing the Service — in which case we will give at least 60 days' notice and refund prepaid fees for the unused period.
On termination, your right to use the Service ends. We will give you a reasonable opportunity to export Customer Content except where that is unlawful. Clauses that by their nature should survive (including ownership, liability and governing law) survive.
14.Warranties and disclaimers
We will provide the Service with reasonable care and skill. For consumers, the digital content we supply must also be as described, of satisfactory quality and fit for purpose, and you have statutory remedies if it isn't.
To the extent permitted by law, and except as expressly stated in these Terms, the Service and AI output are provided “as is” and we exclude all other warranties, conditions and terms, express or implied, including fitness for a particular purpose and non-infringement.
15.Limitation of liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited by law.
For business customers, to the extent permitted by law: (a) neither party is liable for loss of profits, revenue, business, goodwill, anticipated savings or data (other than our obligations to protect Customer Content), or for indirect or consequential loss; and (b) each party's total liability arising from or in connection with these Terms in any 12-month period is limited to the fees paid and payable by you to us in the 12 months before the event giving rise to the claim, or USD 100 if greater.
For consumers, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our negligence. We are not responsible for loss that was not foreseeable, and we supply the Service for personal use only — we are not liable to consumers for business losses.
We are not liable for loss arising from reliance on AI output without the professional review described in section 7.
16.Indemnity (business customers)
If you are a business customer, you will defend and indemnify us against third-party claims arising from Customer Content you upload in breach of these Terms or from your use of the Service in breach of the Acceptable Use Policy, provided we tell you promptly about the claim and let you control its defence.
17.Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days' notice by email or in the Service before they take effect. If you don't agree, you may cancel before the change takes effect and receive a pro-rata refund of prepaid fees. Changes needed for legal or security reasons may take effect sooner.
18.Governing law and disputes
These Terms are governed by the laws of [governing law — e.g. England and Wales], and the courts of [jurisdiction] have exclusive jurisdiction, except that consumers may also bring proceedings in, and benefit from the mandatory consumer-protection laws of, the country where they live.
Please contact us first at m.shafih.akbari@gmail.com — most problems are solved quickly that way. [EU consumers: the European Commission's Online Dispute Resolution platform closed on 20 July 2025; describe any alternative dispute resolution scheme you participate in here, if any.]
19.General
- These Terms, with the documents they incorporate and any order form, are the entire agreement about the Service.
- If a clause is found unenforceable, the rest remains in effect.
- You may not transfer these Terms without our consent; we may transfer them to a successor of our business, and will tell you.
- Neither party is liable for delay caused by events beyond its reasonable control.
- No one other than you and us has rights under these Terms.
- If we don't enforce a right straight away, we can still enforce it later.
